This template certificate of amendment may be used by a New York limited liability company (LLC) to amend its existing articles of organization on record with the New York Department of State. This template includes practical guidance and drafting notes. The required contents of the certificate of amendment are set forth in N.Y. Ltd. Liab. Co. Law § 211. An LLC may file the amendment by mailing the certificate along with payment to the Department of State, Division of Corporations, One Commerce Plaza, 99 Washington Avenue, Albany, NY 12231. The filing fee is $60.00 and should be made payable to the Department of State. A certificate of amendment is required to be filed within 90 days of certain events. N.Y. Ltd. Liab. Co. Law § 211(d).
